ACCEPTABLE USE POLICY

1. PURPOSE AND APPLICABILITY

This Acceptable Use Policy ("Policy" or "AUP") governs the access to and use of the website, platforms, networks, and digital marketing services provided by iNovus Technology Pte. Ltd. ("iNovus", "we", "us", or "our").

This Policy applies to all users, including but not limited to Advertisers (Brands), Key Opinion Leaders (KOLs / Content Creators), Multi-Channel Networks (MCNs), agencies, and general visitors (collectively, "Users" or "you") who interact with iNovus, participate in marketing campaigns ("Campaigns"), or receive payments funded or facilitated by iNovus.

By accessing our website or participating in any Campaign managed by iNovus, you agree to comply strictly with this Policy, as well as all applicable Singapore laws and regulations.

2. LEGAL AND REGULATORY COMPLIANCE

All Users (including Advertisers, KOLs, MCNs, and Agencies) accessing the iNovus platform or participating in any marketing campaign ("Campaign") managed or operated by iNovus Technology Pte. Ltd. must strictly comply with all applicable laws, statutory regulations, industry standards of the Republic of Singapore, and the laws of any target jurisdiction where the Campaign is published. Non-compliance shall constitute a material breach of this Policy, exposing the breaching party to full legal liability.

Specific compliance obligations include, but are not limited to, the following areas:

2.1 Personal Data Protection and Privacy

Pursuant to the Singapore Personal Data Protection Act 2012 (PDPA) and its subsidiary regulations:

• Consent and Notice: No personal data (including but not limited to real names, contact numbers, residential addresses, banking details of KOLs, or consumer data collected by Advertisers) may be collected, used, disclosed, or processed during a Campaign without the express, informed, and prior consent of the data subject.

• Cross-Border Data Transfers: If a Campaign involves transferring personal data outside of Singapore, the party transferring the data must ensure that the recipient organization provides a standard of protection comparable to that enforced under the PDPA, or has obtained clear and explicit authorization from the data subject.

• Marketing Communications: Advertisers and KOLs are strictly prohibited from using contact details obtained through iNovus to send unsolicited commercial messages in violation of the Do Not Call (DNC) Registry provisions.

2.2 Prevention of Online Falsehoods and Manipulation

Pursuant to the Singapore Protection from Online Falsehoods and Manipulation Act 2019 (POFMA):

• Prohibition of False Statements of Fact: Campaign content created by KOLs or provided by Advertisers must not contain known false statements of fact, fabricated news, manipulated media files (such as unlabelled AI-generated Deepfakes), or deceptive claims that could harm the public interest.

• Compliance with Directives: If a POFMA Correction Notice, Stop Communication Direction, or Takedown Notice is issued by the Singapore government or regulatory authorities regarding any Campaign deliverable, the responsible User must immediately cooperate with iNovus to execute the directive within two (2) hours and bear all legal and financial consequences arising from the publishing of such false information.

2.3 Advertising Integrity and Industry Standards

Users are expected to comply with all applicable advertising laws and recognised industry codes, including the Singapore Code of Advertising Practice (SCAP):

• Truthfulness and Substantiation: All claims made in Campaign deliverables (especially regarding product efficacy, safety, health benefits, ingredients, quality, comparative performance, or price discounts) must be truthful, non-misleading, and backed by verifiable scientific evidence, official certifications, or documented data.

• Mandatory Sponsorship Disclosures: In accordance with SCAP guidelines for social media influencer marketing, any content produced by a KOL that is sponsored, incentivized, or compensated (in cash or in-kind) must feature a clear, prominent, and unambiguous disclosure at the beginning of the caption or visibly within the video (e.g., using explicit tags such as #Ad, #Sponsored, #PaidPartnership, or #iNovusSponsored). Hiding disclosures within long hashtag blocks or behind "see more" cutoffs is strictly prohibited.

• Protection of Vulnerable Audiences: Marketing directed at children, minors, or the elderly must not exploit their credulity, lack of experience, or sense of loyalty, nor induce them into engaging in unsafe or illegal behavior.

2.4 Anti-Money Laundering, Countering the Financing of Terrorism, and Financial Integrity

Pursuant to the Corruption, Drug Trafficking and Other Serious Crimes (Confiscation of Benefits) Act 1992 (CDSA) and the Terrorism (Suppression of Financing) Act (TSOFA) of Singapore:

• Legitimacy of Funds: All Campaign budgets paid by Advertisers to iNovus, and all service fees disbursed by iNovus to KOLs, must originate from legitimate legal sources. Using iNovus’s payment or advance funding channels to launder money, disguise illicit proceeds, or evade taxes is strictly illegal.

• Know Your Customer (KYC): KOLs and MCNs must complete identity verification (including providing valid government-issued ID, corporate registration certificates, and tax details) prior to receiving any payout from iNovus.

• Prohibition of Circular Invoicing & Shell Transactions: Users shall not engage in fake transactions, round-tripping of funds, unauthorized cash advances, or invoicing for non-existent marketing services.

2.5 Intellectual Property and Copyright Protection

Pursuant to the Singapore Copyright Act 2021 and relevant trade mark legislation:

• Authorized Material Only: KOLs must ensure that all background music, images, fonts, stock video clips, software, and brand logos incorporated into Campaign deliverables are backed by valid commercial licenses or explicit written authorization.

• Infringement Indemnification: Unauthorized use of third-party intellectual property is strictly prohibited. If a User’s deliverable results in a copyright infringement claim, takedown notice, or legal action against iNovus or the Advertiser, the breaching party shall fully indemnify iNovus for all resulting damages, settlements, and legal expenses.

2.6 Consumer Protection and Fair Trading

Pursuant to the Singapore Consumer Protection (Fair Trading) Act (CPFTA):

• Prohibition of Deceptive Practices: Marketing materials must not contain hidden fees, misleading urgency claims, fake limited-time offers, or fabricated customer reviews/testimonials (Fake Reviews).

• Prohibition of Trade Libel: KOLs are strictly forbidden from making unsubstantiated negative statements, defamatory remarks, or malicious attacks against competing brands during product reviews or comparisons.

3. PROHIBITED CONDUCT AND INDUSTRY-SPECIFIC RESTRICTIONS

To maintain platform integrity, ensure financial safety, and protect the commercial reputation of iNovus Technology Pte. Ltd., all Users (including Advertisers, KOLs, MCNs, and Agencies) are strictly prohibited from engaging in the following activities. Any violation of this Section constitutes a material breach of this Policy and the underlying service agreement:

3.1 Data Fraud, Traffic Manipulation, and Performance Abuse

KOLs and MCNs are strictly forbidden from using technical tools, illicit services, or fraudulent practices to artificially inflate performance metrics, including but not limited to:

• Bot Traffic & Automation Tools: Using automated scripts, bots, spiders, click-automation software, or algorithmic tools to generate fake impressions, views, reads, likes, comments, shares, or follower growth on sponsored content.

• Click Farms & Engagement Pods: Hiring click farms, using sockpuppet/ghost accounts, or participating in private engagement pods (groups organized for artificial reciprocal liking, commenting, and boosting) to manipulate engagement numbers.

• Conversion Fraud (CPA / CPS / CPC): In Campaigns involving Cost Per Action (CPA), Cost Per Sale (CPS), or Cost Per Click (CPC) performance metrics, Users shall not fabricate results by:

    • Utilizing stolen or fake credit/debit cards or virtual cards to make fraudulent purchases and subsequent chargebacks/cancellations;

    • Utilizing automated devices to generate fake user registrations or submit illegitimate sales leads ("Fake Leads");

    • Employing malicious traffic hijacking techniques, including DNS hijacking, ad injection, cookie stuffing, or attribution poaching.

• Data Anomaly Determination: iNovus reserves the right to conduct independent risk audits and utilize third-party fraud detection tools. If an abnormal engagement pattern is detected (e.g., sudden inexplicable spikes in traffic, follower bases consisting predominantly of inactive/bot accounts, or comment sections filled with repetitive AI/bot text), iNovus reserves the sole right to classify the Campaign data as fraudulent.

3.2 Platform Circumvention, Direct Dealing, and Bypassing

iNovus invests substantial resources into vetting, matching, and managing Campaign executions. Users must respect iNovus’s commercial role and business model:

• Strict Non-Circumvention: Where a KOL/MCN and an Advertiser are matched, introduced, or engaged through iNovus, both parties are strictly prohibited from bypassing iNovus to enter into direct commercial agreements, contracts, or payment arrangements for a period of twenty-four (24) months from the date of the initial introduction.

• Solicitation of Private Contact Channels: Users shall not use iNovus’s communication channels (including platform messaging, official emails, or project group chats) to solicit private contact details, WhatsApp/WeChat IDs, or personal bank details for the purpose of conducting off-platform transactions or evading iNovus's service fees.

• Indirect Circumvention: Users shall not utilize parent companies, subsidiaries, affiliates, third-party agents, or shell entities to circumvent the restrictions set out in this Clause.

3.3 Restricted and High-Risk Campaign Content

All creative deliverables produced by KOLs and all campaign materials provided by Advertisers must NOT contain, promote, or link to the following restricted categories:

• Unlicensed Financial & Investment Products: Unauthorized moneylending, illegal fundraising schemes, high-leverage forex trading, or unapproved cryptocurrency/NFT offerings and speculative tokens not authorized by the Monetary Authority of Singapore (MAS) or relevant local regulators.

• Gambling & Betting: Any form of online or offline gambling, illegal casinos, sports betting software, underground lotteries, or games of chance disguised as promotional activities.

• Controlled & Sensitive Goods: Tobacco products, electronic cigarettes (vapes/e-cigarettes), controlled substances, prescription drugs, unlicensed health supplements/medical devices, weapons, ammunition, or adult/pornographic content.

• Deceptive & Exaggerated Claims: Unsubstantiated efficacy statements, including "100% guaranteed results," "instant weight loss," or "zero-risk high returns" (particularly within the beauty, wellness, food, and financial sectors).

• Malicious Smear Campaigns & Trade Libel: Unsubstantiated comparative reviews, black-PR campaigns, defamatory remarks, or malicious attacks targeting competing brands or individuals.

• Political & Culturally Sensitive Issues: Politically sensitive statements, hate speech, content promoting racial or religious disharmony, or materials violating public order and morality.

3.4 Financial Misconduct and Payment Abuse

Because iNovus funds Campaigns directly and disburses service fees from its own capital, Users must adhere to strict financial integrity:

• Anti-Money Laundering & Round-Tripping: Users shall not utilize iNovus’s advance funding or payout mechanisms for circular invoicing, money laundering, unauthorized cash advances, fake commercial transactions, or tax evasion.

• Double Claiming & Over-Invoicing: KOLs/MCNs are strictly prohibited from submitting the same deliverable for duplicate payment to multiple advertisers or seeking direct payment from an Advertiser for work already compensated (or scheduled to be compensated) by iNovus.

• Invoice Fraud & Tax Compliance: Users shall not provide falsified tax registration numbers, fraudulent invoice details, or refuse to comply with applicable tax reporting requirements (including Goods and Services Tax / GST) mandated by the Inland Revenue Authority of Singapore (IRAS) or relevant tax authorities.

3.5 Non-Performance and Professional Misconduct

• Abandonment & Ghosting: Once a Campaign assignment is accepted, a contract executed, or an advance payment received, KOLs must not abruptly cease communications, refuse to submit drafts on schedule, or delay content publication without valid force majeure reasons.

• Unauthorized Publishing or Modification: KOLs must not publish Campaign content publicly without prior written final approval from iNovus or the Advertiser. Furthermore, once approved and published, KOLs shall not edit, archive, hide, or delete the sponsored post during the agreed campaign window without prior authorization from iNovus.

4. CONTENT DISCLOSURE AND APPROVAL REQUIREMENTS

4.1 Mandatory Sponsorship Disclosures (ASAS / SCAP Guidelines)

All sponsored, paid, or incentivized posts created by KOLs must contain clear, prominent, and unambiguous disclosures indicating a commercial relationship (e.g., using hashtags such as #Ad, #Sponsored, #PaidPartnership at the beginning of the post caption).

Hiding disclosures within long strings of hashtags or behind "see more" cutoffs is strictly prohibited.

4.2 Pre-Publication Review and Sign-Off

All deliverables must be submitted to iNovus for compliance and quality review prior to public posting.

iNovus reserves the right to withhold payment or demand content removal if a deliverable is published without prior written sign-off from iNovus.

5. TECHNICAL SECURITY AND SYSTEM USE

Users accessing the iNovus website or digital platforms agree NOT to:

• Unauthorized Data Scraping: Use spiders, web crawlers, scrapers, or automated tools to harvest iNovus’s KOL database, pricing sheets, campaign case studies, or proprietary metrics.

• Cyberattacks: Attempt to launch Denial of Service (DDoS) attacks, inject malicious code/viruses, perform unauthorized vulnerability scans, or breach network security.

• System Abuse: Attempt to access admin panels, database records, or accounts belonging to other Users.

6. ENFORCEMENT, PENALTIES, AND REMEDIES

If iNovus determines, in its sole discretion, that a User has violated this Policy, iNovus reserves the right to take any or all of the following actions without prior notice or liability:

• Content Rejection / Takedown: Refuse approval or mandate the immediate deletion/removal of non-compliant content.

• Withholding and Forfeiture of Fees: Withhold, reduce, claw back, or forfeit service fees payable to any KOL or Agency involved in data fraud, circumvention, or breach of Campaign specifications.

• Suspension and Blacklisting: Immediately suspend or terminate the User’s access to iNovus platforms and place the User on our industry blacklists.

• Legal Proceedings and Indemnification: Initiate legal proceedings to recover all direct and consequential damages, legal costs (on an indemnity basis), regulatory fines, and reputational loss resulting from the breach.
